These Terms of Service ("Terms") govern your access to and use of the Threshold platform ("Platform"), operated by AFSP LLC (dba Threshold-io) ("we," "us," or "our"). By creating an account, accessing the Platform, or using any of our services, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Threshold is a software-as-a-service (SaaS) platform built for residential homebuilders and their sales teams. The Platform includes tools for buyer-facing home configuration, agent and sales CRM, contract management, homeowner portals, and integrations with third-party builder systems. Features available to you depend on your subscription tier. We may update or modify the Platform at any time, and will communicate material changes with reasonable notice.
You must be at least 18 years old to use the Platform. By registering, you confirm that you are of legal age and authorized to enter into a binding agreement on behalf of yourself or your organization. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at stevenpgovoni@threshold-io.com if you suspect unauthorized access.
Access to the Platform is provided on a subscription basis. Fees are billed monthly through Stripe, our third-party payment processor, starting on the date you subscribe. Subscriptions automatically renew each month unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting us, cancellation takes effect at the end of the current billing period and you will retain access through that date. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with at least 30 days' written notice. Failure to maintain a current payment method may result in suspension or termination of your account.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not: (a) use the Platform in any way that violates applicable law or regulation; (b) attempt to reverse engineer, decompile, or extract source code from the Platform; (c) scrape, crawl, or use automated means to access Platform data without our written permission; (d) introduce malware, viruses, or other harmful code; (e) use the Platform to harm, harass, or defraud other users or third parties; (f) resell or sublicense access to the Platform without our express written consent. We reserve the right to suspend or terminate accounts that violate these rules without prior notice.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain full ownership of all buyer, lead, configuration, and operational data you submit through the Platform. We process that data solely to provide the services you have contracted for, and we do not sell your data to third parties. The Platform, including all software, visual design, content, documentation, and trademarks, is owned by AFSP LLC and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes during your subscription term. You may not copy, reproduce, modify, or create derivative works from any part of the Platform. Nothing in these Terms transfers ownership of the Platform or its underlying technology to you.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AFSP LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFSP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally shall be resolved through binding arbitration administered by a mutually agreed neutral arbitrator in Florida. By agreeing to these Terms, you waive any right to a jury trial or to participate in a class action lawsuit. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
